Raining Data Corporation Announces Fourth-Quarter
and Fiscal Year End March 31, 2002 Results

IRVINE, CA., June 28, 2002- Raining Data Corporation (Nasdaq: RDTA) today announced financial results for the fourth quarter and the fiscal year ended March 31, 2002. Revenue for the quarter and year ended March 31, 2002 totaled $5.1 million and $20.0 million, respectively, as compared to revenue of $5.0 million and $9.3 million for the quarter and year ended March 31, 2001, respectively.

This year over year increase in revenue reflects four full quarters of combined operations following the acquisition of PickAX, Inc., the holding company for Pick Systems, in December 2000. The prior fiscal year includes only one full quarter of combined operations.

Earnings (loss) before interest, taxes, depreciation, and amortization (EBITDA) improved to positive $0.2 million and negative $1.6 million for the quarter and year ended March 31, 2002, respectively. For the quarter and year ended March 31, 2001, EBITDA was negative $0.6 million and negative $5.9 million, respectively. The Company computes EBITDA by adding depreciation, goodwill and non-goodwill amortization and non-cash stock-based compensation expense to its GAAP reported operating income (loss).

For the quarter ended March 31, 2002, net loss was $4.7 million as compared to $5.8 million for the same period in the prior fiscal year. Net loss was $20.0 million for the year ended March 31, 2002 as compared to $14.2 for the year ended March 31, 2001.

Net loss per share was $1.23 for the year ended March 31, 2002 as compared to $1.21 for the year ended March 31, 2001. For the quarter ended March 31, 2002, net loss per share was $0.27 as compared to $0.37 for the same period in the prior fiscal year.

We have been able to ramp up our research and development activities while maintaining a focus on the bottom line as evidenced by an increase in year over year R&D spending while still having positive EBITDA for the last two fiscal quarters. We look to expand on that positive momentum in fiscal 2003."

On June 28, 2002, Raining Data will file with the SEC its Form 10-KSB for the fiscal year ended March 31, 2002.
